Jindal South West Holdings Limited (JSWHL) incorporated on 12th July, 2001 is a Non Banking Financial Company (NBFC) registered with Reserve Bank of India (RBI).

JSWHL is an Investment Company of the JSW Promoters Group with its investment mainly in Jindal Group of Companies with other companies.

The main business activities as mentioned in the Memorandum of Association is of Investment in shares, stocks, or other securities in India or abroad and to provide management consultancy services.

Brief about the Scheme of Arrangement & Amalgamation

The Scheme of Arrangement and Amalgamation between JISCO, JSWHL, JVSL and their respective members and creditors envisaged:

Demerger of the Investment Division (Investments and Related Loans and Advances) of JISCO into the Company.

Re-organization of the capital structure of JVSL including issue of warrants of JVSL to all its existing shareholders.

Amalgamation of Steel Business of JISCO (Remaining Business) with JVSL

The merger of Steel Business of JISCO into JVSL coupled with the demerger of the Investment Division of JISCO was intended to create an integrated steel player focused solely on the steel business. It will result in creation of an end-to-end chain from iron ore to galvanized products. The consolidation of the Steel Businesses will lead to operational synergies besides certain additional benefits like scale, integration of operation, enhanced financial strength and flexibility, rationalisation of administrative and marketing cost.

In view of vesting of Investment Division of JISCO into the Company, the Company has issued and allotted to every member of JISCO, holding fully paid up Equity Shares in JISCO and whose names appeared in the Register of Members of JISCO on 25th February, 2005 (“Record Date” fixed by BOD of JISCO), his heirs, executors, administrators or the successors-in-title, as the case may be, in respect of every 4 (four) equity shares of the face value of Rs. 10 each fully paid-up held by him/her/it in JISCO, 1 (One) Equity Share of Rs. 10/- each of the Company credited as fully paid-up.

The shareholding pattern of the Company will mirror the shareholding pattern of JISCO
