","You are at : Beyond Business : Art, Culture &amp; Heritage  Collaboration with Royal Court Theatre The Foundation also collaborates with the Royal Court Theatre, London, British Council, Mumbai and Rage Production to provide a platform to playwright and so far, 20 original stories have been staged at the National Centre for the Performing Arts (NCPA) and the Prithivi Theatre.  Vijayanagar art camp An Art Camp was recently organized at Vijayanagar ( Bellary, Karnataka) where 21 artists displayed their art work and methods of creating it.  Association with enamellist association of India The Foundation has supported establishment of an enameling studio at our Vasind works (Thane, Maharashtra) in association with the Enamelist Association of India.  Hampi Foundation The UNESCO world heritage site at Hampi is situated close to our Vijayanagar works. We established the Hampi Foundation in 2000 to formulate a comprehensive master plan for management of the ruins. The Foundation sponsors the Hampi Utsav Festival, an annual gathering of local and national level artist. It is organizing a major conference on Hampi in February 2008.  JJ School of arts Following the earlier project on exterior restoration of the building, which fetched us an award in the Art, Culture and Heritage category of the Bombay Chamber of Commerce and Industry, The Government Maharashtra has entrusted us with a major project to restore and document the paintings and sculptures, restore the Dean&rsquo;s bungalow and convert it into an Arts Museum and renovate the interiors of the fine arts building.  World Monuments Fund Mrs S Jindal has been invited on the Board of Trustees of the World Monuments Fund, headquartered in the US. JSW Foundation facilitates interaction between parents and school authorities, identifies and trains local teachers and pays them a stipend. The interactive mode of teaching creates excitement in students and in form attracts them to government schools  Balwadis 25 rural women have started Balwadis in their homes for which the JSW Foundation gives them a stipend.  Village Learning Centres Village Learning Centres started at 20 locations around Vijayanagar assist about 100 students to get mainstreamed in formal schools  Mobile Libraries Mobile libraries in Vijayanagar and Vasind make available reading material to students. The Tarapur team has helped in upgrading the library at the CBSE School, which is run by the Chinmaya Foundation. In the industrial area of Tarapur, collaborative projects with other industries are important.  Jindal Vidya Mandir The foundation runs three schools, Jindal Vidya Mandir at Vasind has been recognized by a certificate of merit by the Indian Merchants Chambers &ndash; Ramakrishna Bajaj National Quality Cell for their teaching methods and outreach initiatives. Experts discuss psychological and social aspects of growing up such as the physical growth, the hormonal changes that occur along with the obvious physical changes, the internal organ growth, menstruation, conception and methods of contraception. The feedback from students indicates a definite need to continue this orientation and counseling activity.  &ldquo;I learnt many new things about my own body; I find it very relevant to life&rdquo;. &ldquo;We are thankful for sharing with us this much needed information which even our parents could not share with us&rdquo;. &ldquo;This workshop has reduced stress &amp; pressure I always felt about growing up.&rdquo; &ldquo;I will share this information with my friends as well&rdquo;. &ldquo;Till date nobody else has shared these details with us, parents &amp; teachers would just give suggestions or scold us for many things, but would never explain anything.&rdquo;  We have so far organized 20 programmes in three schools and a Jr. College in Vasind and covered almost 1650 students.  MID-DAY MEAL PROJECT  Malnourishment is a major concern for the JSW Foundation. It has associated with the Akshaya Patra Foundation and the ISKCON FORD Relief Foundation in providing nutritious mid-day meal in school in select areas in Karnataka and Maharashtra. In Karnataka 5 acres of land has been allocated to the foundation to set up their kitchen. This proposes to reach out to over a lakh student. Mrs Sangita Jindal has recently been invited on the Advisory Board of the Akshaya Patra Foundation.  Awareness on HIV-AIDS  Our involvement in generating awareness on HIV-AIDS is through collaboration with known groups/organizations and we are committed to spreading the message around our employees, families, truckers and casual laborers / villagers to give a variety of interactive media tools such as lectures, street plays, films and creative CDs. Condom vending machines have been installed at Vijayanagar.  Mobile health units  This facility serves the local population in Barmer (Rajasthan), mednipur (WB), Ratnagiri (Maharashtra) and Vizag (A.P). ","You are at : Beyond Business : Livelihood and Empowerment  Stree Shakti The Foundation is keen to lay emphasis on the girl child and women&rsquo;s empowerment in most of the projects it undertakes. Stree Shakti is one such initiative at Vijayanagar where 32 women have been trained to work as supervisors in blast furnace, stores and as payload operators. They are confident to be able to undertake non-conventional jobs like crane operators. Contractors, who initially felt thought of this action to be absurd, are speaking highly about the dedication of these women workers.  BPO at Vijaynagar A non-voice rural Business Process Outsourcing (BPO) unit in functioning at Vijayanagar in collaboration with Lason India Ltd. 300 rural girls are presently doing data entry and data processing which includes conversion, coding, keying and auditing. The girls are given typing training for three months after which their skills are challenged through rigorous test conducted at the BPO and by Lason India. Girls from neighboring villages and tehsils are attracted to this facility. JSW Foundation proposes to involve 5000 girls and boys by establishing more such BPO units at its other locations.  Vocational Training The Foundation is supporting vocational training in Vijayanagar and Vasind. These offer courses in tailoring &amp; fashion designing, beautician, electrician, motor rewinding, electronics, welding &amp; fabrication, computers, welding and masonry. At Vasind, a study was conducted to assess the levels of utilization and benefit to these students. 80% of surveyed students were using the skill set offered to them. The Akanksha Vocational Training Centre at Vijayanagar stitches uniforms for use at the hospital, school, and outsource contractors. At Vizag and Ratnagiri, we have identified and sponsored girls and boys to vocational training courses at other locations.  Bridging the gap between curriculum and jobs The Foundation is also making an effort to bridge the gap between curriculum and the job market. It invites trained career counselors to speak to students of rural schools around Vasind and Tarapur (Thane, Maharashtra) works. Our career guidance programs in Vasind and Tarapur have benfitted over 8000 students  Seed village development We are working with farmers on seed replacement of groundnut and chickpea ( Bengal gram). Farmers associated with this activity have proven that the declining productivity of these crops can be halted. This supplements our other initiatives to facilitate farmers to diversify into vegetables and tree based systems.  Crafts village This will provide working space and marketing opportunity for artisans and also will also serve as a creative outlet for our kalasangams. South West Port Ltd (SWPL) is a maritime infrastructure set up of JSW that facilitates import &amp; export through two dedicated bulk cargo berths at Mormugoa Port. With mechanized cargo handling facilities, SWPL is well equipped to handle 5.5 million tones of cargo-traffic &amp; comes with assurance of environment protection. The Port is equipped with fully mechanized PLC controlled operational system. SWPL has also installed an Air Monitoring station as per the Guidelines of Goa State Pollution Control Board. A green belt consisting of more than 2000 nos. of fast growing Acasia variety trees will be planted all along the boundary of the port area in order to increase the oxygen content and restrict any emission escaping from the port area.   South West Port Limited (SWPL)    Port Facilities &amp; Services Jetty :    Two berths having total berthing length 450 M, width 26 M, constructed of RCC deck supported on 360 RCC Piles (180 no. 1200 mm dia &amp; 180 nos. 1600 m dia). Center distance between the piles 6 M. longitudinal and 5 M. cross sectional.   Berth 5A is suitable to handle vessels having LOA of 190 M. max with present draft of 13 M.   Berth 6A is suitable to handle vessels having maximum LOA of 225 M. with present draft of 14.0 M   Both the berths are suitably designed &amp; fendered for vessels sizes upto 1,50,000 DWT.   Jetty is provided access for 12 M &amp; 18 M Span rail gauge for Mobile Hoppers and Mobile Harbour Cranes respectively.      Approach channel    Tidal range : Springs 3.2 Neaps 1.0 mtrs. Present depth : 14.0 M. below CD.      Type of cargoes planned : Import of : Coal, Coke and Limestone Export of : HR Coils/ Slabs, Iron Ore Pellets and General Bulk Cargo.      Vessel restrictions : LOA upto 335 M, BEAM -no restrictions, Draft - 14 M in conjunction with tide.      Pilotage : The Pilotage will be provided by Mormugao Port.    Storage Area : Net storage area available is 30,000 sq.mtr.      Mechanized Cargo handling facilities    For Import Three mobile harbour cranes of Liebherr makeof capacityon hook maximum 104MT, on four rope grab maximum 52MT at 30mtrs outreach. Three mobile hoppers each of 1200TPH capacity Belt conveyors: Capacity while stacking 2400TPH. Capacity while reclaiming and wagon loading 1500TPH. Two numbers stacker cum reclaimers : Capacity 2400/1500TPH each Wagon loader: capacity 1500tph. The rake will be placed in two halves on either side of the Wagon Loader.    Operational Philosophy The cargo will be discharged from the vessel by using Mobile Harbour Cranes into the Mobile Hoppers which will feed the cargo to the Stacker Reclaimer through the conveyors for stacking the material in the stackyard. Simultaneously the second Stacker Reclaimers will reclaim the material and feed to the Wagon Loader through reclaim conveyors. The wagon loader will load the rakes at the rate of 1500TPH. Due to paucity of space on the shore, two half rakes on either side of the wagon loader will be placed. Wagons will be stationary wherein wagon loading system will be mobile and cargo loading will be done. The Panamax vessel carrying 70,000MT of coal can be discharged in less than 3 days and on an average five rakes can be loaded in a day for the dispatch of coal from the terminal.    For Export Special concrete platform (394 mtrs x 20 mtrs) on piles with higher load density within the outreach of the Harbour Mobile Crane, six nos gantry cranes and suitable civil foundation and rail facility are being developed for storage and export of heavy cargoes like steel through the berth 5A and the entire facility from the receipt of rakes till loading of export vessel is expected to be commissioned by April 2007 end.    Operational Philosophy The slabs / coils / Iron Ore Pellets will be received by wagons and from wagons cargo will be unloaded using gantry cranes and loaded on truck / trailer and taken to the respective storage yard behind jetty and it will be loaded into ships by Mobile Harbour Cranes / vessel gears.      Rail yard : 4 railway lines&ndash; each capable of accommodating half rake &ndash; are operational. Line No.1 &amp; 2 are meant of Engine Escape &amp; handling of steel export. Line No.3 &amp; 4 are meant for mechanized wagon loading of bulk import cargo.    Operational Philosophy The cargo shall be recd. / dispatched from Receipt &amp; Despatch yard of MoPT. The haulage from R&amp;D yard upto SWPL boundary will be done by MoPT. SWPL has its own Railway yard within its boundary wherein four rail lines are connected to two rail lines laid by MoPT up to SWPL boundary. Engine-on-Load Scheme, announced by Indian Railways is under implementation, wherein SWPL will get a dedicated engine for the placement and removal of empty rakes from Vasco to SWPL rail siding and vice versa.      Automation : Port is equipped with fully mechanized PLC controlled operational system. The system is having all safety features and interlockings and is operating through centralized control room. The cargo stacking and wagon loading systems is also equipped with belt weighers and material accounting is being done.      Environmental Protection : SWPL has developed fully mechanized cargo handling system along with state of the art dust suppression system, for handling the imported coking coal and other commodities. The Port facility is developed ensuring that pollution is controlled through effective mechanized systems supplemented with automatic water based Dust Suppression System (DSS), while achieving maximum operational efficiency of throughput per berth day and faster evacuation through efficient mechanized modern Wagon Loading system. Pressurized closed loop Aquadyne Dust Suppression System with water sprinkling arrangement ensures lowest pollution levels at all transfer points of dust emissions and stock yards. Aquadyne system would consist of fine spray nozzles with capacity to atomize 2-6 LPM of water at 8 kg/cm2 pressure. These will be erected on Mobile hoppers, material transfer points and along the conveyor belts. The sprinkler system consisting of pressurized high throw sprinkler jets of capacity 4.5 LPM of water upto 12 kg/cm2 pressure with a throw range of 25 mtr will be used to sprinkle water from both sides of the cargo stockpiles. Dust Suppression System will have 100% standby pumping system. SWPL has also installed an Air Monitoring station as per the Guidelines of Goa State Pollution Control Board. By the use of water sprinklers installed around cargo stockpiles and nozzles at all the cargo discharge points the Coal particles are not allowed to be airborne. SWPL monitor the data on daily basis and the same is also published in the interest of public by way of reports and Display Boards. The volume of saleable steel went up by 16%, since 25000 tonnes of Plates / Coils were consumed for various projects captively, in addition to accretion to stock of around 50,000 tonnes due to bunching of exports. While Net Sales Realizations improved over the corresponding quarter of the previous year, the increase in the DEPB rate by 3% w.e.f 1st April, 2007 has also contributed for higher profits. Inspite of certain savings in cost due to increase in captive power generation, reduced usage of Fluxes and increased LD Gas recovery in Basic Oxygen Furnace, the overall costs have gone up mainly due to higher input cost, viz. iron ore, coke, zinc and Ferro alloys. 2 Financial Performance The Other Income includes foreign exchange translation gains of Rs.60.14 crores on capital account arising on settlement / restatement of foreign currency denominated liabilities relating to acquisition of fixed assets in accordance with recent provisions of Accounting Standard 11. The Other Income also includes Rs.18.75 crores of insurance claim towards loss of profits attributable to shut down of Hot Metal furnace during the 1st half of April 2007. After adjusting these two non-recurring items, the EBIDTA margin improved to 35.53% as against 29.69% in the corresponding quarter of the previous year. The Company posted highest ever Net Profit of Rs.427.78 crores. While the Company's adjusted debt gearing was at 0.69 due to repayment of term loans aggregating to Rs.234 crores during the quarter, weighted average interest cost has come down to 7.86% from 8.14% as on 31st March `07. The other financial ratios viz. return on capital employed (24.47%) and the interest cover (8.13 times) showed marked improvement. Status of projects and implementation a) Cold Rolling Mill 1 MTPA complex: The installation of major Equipment is in progress and the commissioning of various facilities is progressing briskly. The CRM project is expected to be completed by September 2007. b) HSM Phase II Modernization Project to increase capacity from 2.5 to 3.2 MTPA: Technical discussions have been completed & Ordering of main package of Equipments is completed. The project is expected to be on Stream by September 2008 c) New HSM Project: The implementation has already been taken up and site works are in progress. Major Packages are finalized. Down payments have been made. Targeted commissioning date is 30.9.2009. 3 d) Blast Furnace 1 Modernization Project to increase capacity from 0.9 to 1.2 MTPA: Discussions are in progress with VAI Siemens for finalizing the modernization related jobs to achieve planned capacity enhancement by end FY 2008-09. e) 2.8 MTPA Expansion Project to increase overall capacity to 6.8 MTPA: The various units under 2.8 MTPA Expansion Projects, such as Blast Furnace, Sinter Plant, Coke oven plant, Steel Melt shop (two converters, one Slab Caster and one Billet Caster), and Long Product Mills (Wire Rod Mill & Rebar Mill) are progressing as per schedule. In respect of Coke Ovens, Refractory erection is in progress. The Sinter Plant and Blast Furnace erection is in advanced stage. There is a significant progress in the implementation of this Project and is expected to be on stream by Mar09, as planned. f) 3.2 MTPA Expansion Project to increase overall capacity to 10 MTPA: Orders placed Siemens VAI for Blast Furnace #4, on other suppliers for Coke Oven #4 and Slab Casters. Main packages of Sinter plant #3 is in advanced stage of negotiation. The implementation of the Project has already commenced and is expected to be on stream as planned by 2010. On completion of the above expansion projects, the company will have fully integrated 10 MTPA Steel Plant with state-of-the-art facilities and value added products, contributing significantly to the bottom line. Key Developments 1) The Hot Metal Furnace which was shut down due to accidental fire on 15th February 2007 was recommissioned on 12th April, 2007 after repair. To incorporate safety features to avoid such accidents, similar Hot Metal Furnace was shut down for around 40 days from 11th June 2007. This Furnace restarted operations on 23rd July 2007. The Company's insurance claim towards repairs and loss of profit was settled for Rs.89 crores 4 comprising of Rs.75 crores towards loss of profit and Rs.14 crores towards capital repairs. 2) Acquisition of 300 MW Power Plant from JSW Energy (Vijayanagar) Ltd.(JSWEVL) The Company has captive Power Plants aggregating to 230 MW to cater to entire requirement of Steel Plant at 3.8 mtpa. In order to meet incremental requirement of power for expansion project from 3.8 mtpa, to 6.8 mtpa, the Company has signed a long term Power Purchase Agreement for buying 300 MW of power and has also agreed to invest upto 26% in the equity of JSWEVL. It is now proposed to acquire the 300 MW Power Plant, including certain common facilities, from JSWEVL considering the following benefits to the Company : a) integration of entire power plant operations with Steel Plant operations providing for better control and management of power requirement within the steel plant complex; b) improvement in operational efficiency; and c) potential tax savings due to tax concessions / exemption available for the power sector u/s 80-I(A) of the The Income Tax Act of 1961. The Board has appointed an independent consultant /valuer to value the said Power Plant and recommend the efficient mode of acquisition and the value at which this plant can be bought. A Committee of Directors has been constituted to approve the terms of acquisition of this Power Plant on availability of Independent Valuation report and recommendation. 3) Clean Development Mechanism (CDM) Project: The Company as part of its CDM initiatives had set up a 100 MW captive power plant using waste gases generated in the process of Steel making, as a CDM Project, which was commissioned in April 2005. The Project was registered by CDM Executive Board of UNFCCC and the Company is 5 accordingly eligible for a total 7,673,254 Certified Emission Reductions (CER's) for the period from April 2005 to March 2015. Based on the verification of the CER's, the Company has obtained the approval of the CDM Executive Board for issuance of 1,364,852 CER's for the period Apr. `05 to Dec. `06. In order to get credit in favour of the Company, a holding account in the CDM Registry will be opened, to facilitate sale or transfer of CERs quickly. 4) JSW Steel ranked as 8th among the top world class Steel Makers: The World Steel dynamics not only included JSW Steel Ltd. in the list of top world class Steel makers but also ranked it as No. 8 with an aggregate score of 7.33 on a scale of 10 taking into account 23 different parameters. Outlook The global crude steel production grew at 8.4% during H1, 2007 mainly led by 17.8% growth in China. Chinese exports are higher in first six months at 35 Mn MT. US had a marginal positive GDP growth in Q1, 2007 due to slowing economy, lower auto production and decelerating construction. However, rising demand for Pipes & Plates is noticed in the US driven by booming Oil & Gas Industry. Monsoon in Asia has slowed down construction activities. The international prices of steel products as a consequence of above factors, has come down by around 7-10%. The appreciating Rupee against the Dollar and the lower international steel prices led to an adjustment of the prices in the domestic market by around Rs.600-800 per tonne from 1st July, 2007. The recent policy announcements by Chinese Government to restrict steel exports by introducing licensing procedures, reducing export rebates and 6 introducing taxes on exports are expected to slow down the export of steel products from China. It is reported that the inventories at various service centers are coming down and the demand continues to be buoyant. Indian economy has shown robust growth in the current financial year backed by a growth of 11.7% in the industrial production in April/May 2007. Lower inflation reported recently is expected to result in lower interest rate regime, which will spur growth in Automobile and Retail sector, a big positive for steel industry. In this scenario, the steel prices are expected to remain stable and may pick-up from third quarter. Key developments i) Change in scope of 2.8 MTPA crude steel expansion project: Considering the potential growth in the long products demand in India, the need to have a wider range of product mix to diversify risk, it is proposed to change the scope of the expansion project by incorporating 1.5 MTPA long products facility in lieu of corresponding slab making facility. The long product facility includes 1.5 MTPA Billet Caster, 0.9 MTPA Bar Mill, 0.6 MTPA Wire Rod Mill. This project will now have 1.5 MTPA of long products and 1.3 MTPA of flat products (up to slab stage). The project will be implemented, within the time line even with the change in the scope of the project. The project cost is estimated to go up by Rs. 300 crores due to change in scope which will be met out of cash accruals of the company. Since the realizations on sale of finished long products are higher than that of slabs with a marginal increase in investment, all the financials of the project show significant improvement. ii) New Hot Strip Mill At 6.8 MTPA stage, the company is expected to have surplus slabs of 2 MTPA for sale in the market. The existing Hot strip mill has the constraint on width upto 1320 mm (maximum) and thickness of 1.8 mm (minimum). It is essential that the company has a State-of-the-Art HR Mill capable of producing varied range of high end HR products that will improve the competitive strength of the company in the market place. Accordingly, the Board has approved to set up a Hot Strip Mill, capable of producing up to 2100 mm width and thickness ranging from 1.5 mm to 25.4 mm. This plant can be expanded upto 5 MTPA in future as and when the company decides to enhance the crude steel capacity beyond 6.8 MTPA. The cost of the project is estimated to be Rs.2000 crores to be financed by cash accruals Rs.800 crores, debt of Rs.1200 crores. Strategic Initiatives A) Forming a subsidiary for acquisition of coal assets overseas. The company has been pursuing the strategy of integrating its operations vertically to bring down the costs. A focused effort is being made for the last two years to identify prospective coal mining assets and invest in them to ensure long term coal security. The company has identified certain coal assets in Mozambique and started financial, legal and technical due diligence. The Board has approved the opening of a new &quot;arm&quot; to pursue these initiatives by setting up a wholly owned subsidiary overseas with permission to form step down subsidiaries in various destination countries for acquiring the coal assets. C) Forming a subsidiary in India to set up Service Center The Company is setting up a manufacturing facility (1 MTPA CRM complex) to produce 0.8 MTPA of CRCA and 0.2 MTPA of HRPO products which will be operational by 31.5.2007. Considering the requirements of discerning customers and long term strategic benefits and financial feasibility, the Board has approved the proposal for setting up a Service Centre at a cost of Rs. 135 crores in a wholly owned subsidiary with an Equity Investment by JSW Steel Ltd., up to an amount not exceeding Rs.50 crores in one or more tranches and also to give guarantee for a term loan of Rs.85 crores to be raised in the subsidiary company. The Service Centre, as a separate profit center, can over a period of time, take on and meet service requirements of the other Companies also. Strategic Initiatives A) Formation of Joint Venture subsidiary to implement West Bengal Steel Project: A Development Agreement was executed on January 11, 2007 with the Government of West Bengal, West Bengal Industrial Development Corporation (WBIDC), West Bengal Mineral Development and Trading Corporation Limited (WBMDTC) for setting up a 10 MTPA Steel Plant in suitable phases at an estimated cost of Rs. 35,000 Crores within 12 years from the date of execution of Development Agreement. This Development Agreement inter alia includes incorporation of a Special Purpose Joint Venture Company with WBIDC and WBMDTC. The Board has approved the formation of the subsidiary Company with an initial authorized and paid up equity capital of Rs.100 Crores of which JSW Steel's contribution would be 89% and balance 11% by WBIDC and WBMDTC, to be increased at a later stage based on the financing structure. The Board has also accorded its consent to negotiate and finalize the Shareholders Agreement with the JV partners namely WBIDC and WBMDTC. 3 The project will be implemented in suitable phases, the first phase being 3 MTPA to be completed within 4 years from the date of execution of Development Agreement at an estimated cost of Rs.10,000 Crores. The core cost of the steel plant assuming the power plant and oxygen plant will be implemented by other Associate companies with independent financing arrangement, is estimated to be Rs.6000 Crores to be financed by equity of Rs.2000 Crores and a debt of Rs.4000 Crores. The debt is proposed to be raised in the joint venture company without recourse to the company and the equity of Rs.2000 Crores will be held to the extent of 51% by the company and balance will be contributed by WBIDC / WBMDTC and group investment / associate companies. The company proposes to achieve the financial closure of the 1st phase of 3 MTPA in special purpose joint venture company with JSW Steel contribution pegged at around Rs.1000 Crores. JSW Steel expects to meet the requirement of Rs.1000 Crores out of its cash accruals during implementation phase of 4 years. B) Formation of wholly owned subsidiaries of the Company: The Company has set up the following wholly owned subsidiaries: 1. JSW NATURAL RESOURCES LIMITED, a Company incorporated in Mauritius on 27.11.2006 to pursue acquiring coal assets/other assets relating to steel business. 2. JSW STEEL (UK) LIMITED, a Company incorporated on 20.10.2006 in London, England to strengthen and widen the Company's presence in the International market and also to identify and speed up the acquisitions in Steel related businesses. 3. JSW STEEL PROCESSING CENTRES LIMITED, a Company based in India, to set up service centres with a view to expand the reach of CRCA and HRPO steel products manufactured across the value chain and to meet the exacting demands of the user industry. C) Registration of CDM Project with UNFCCC: The Company as part of its CDM initiatives developed a 100 MW captive power plant using waste gases as a Clean Development Mechanism (CDM) Project. This Project has been commissioned in April 2005. The Company is committed to adopt environment friendly technologies contributing immensely in reducing the green house gases (GHG) emission. 4 This Project has been registered by CDM Executive Board of United Nations Framework Convention for Climate Change (UNFCCC) on January 12, 2007. As per the registered project design document, the Company is eligible for a total of 7,673,254 Certified Emission Reductions (CER's) from April 2005 to March 2015. Following the registration the Company is required to appoint an accredited Verifier for monitoring and verification of the CER's. After this process of verification is completed, the Company has to apply to CDM Executive Board of UNFCCC for issuance of CER's. The request for issuance of CER's will then be examined by the CDM Executive Board after following the laid down guidelines and procedures and there after the CER's wil be issued. The volume of CER's may vary during this process of monitoring, verification and issuance. These CER's there after can be delivered to the prospective buyers. The price of CER's is volatile and the amount realizable depends upon the market conditions and terms of sale at the time of actual conclusion of sale transactions. Outlook The estimated growth in global crude steel consumption in 2007 will be 5.2% visà-vis 4.9% growth in production. The expected slow down in exports from China coupled with strong growth in demand in Emerging Economies signals stable price scenario with upward bias. Robust growth in Indian Economy is expected to stimulate Steel demand further. Hot Strip Mill was shut down for modernization in Q1 (FY'06-07) and picked up volumes on re-commissioning due to which a growth of 18% in Q4 was achieved. The production would have been higher had there been no shut down of one of the furnaces from 15.02.2007 due to accidental fire. The HR Coils sales volume went up by 50% in Q4 as the production and sales of GP / GC products were kept lower focusing on thinner gauges to optimize the profitability. 2 The input costs, viz. iron ore, coal zinc and Ferro alloys have gone up, but the impact is mitigated by increasing the production of captive power and captive coke, injection of coal fines in the blast furnace, use of sinter fines in Corex. These measures could help in retaining the costs of production almost at the same level as that of last year excepting in the last quarter due to shut down of one of the furnaces which pushed the costs up. Financial Performance The net sales for the quarter stood at Rs.2498.54 crores showing a growth of 57%. The other income of Rs.80.73 crores, includes the loss of profit claim of Rs.56.25 crores accounted as income pursuant to a letter received from the Insurance Company confirming the admissibility of the claim subject to submission of necessary documents and another insurance claim of Rs.9.60 crores lodged and settled by the Insurance Company. The EBIDTA margins improved to 33.4% (excluding non recurring income) vis-à-vis 26.6% of the corresponding quarter of the previous year. The Company posted highest ever net profit of Rs.413.25 crores during the Q4 compared to Rs.410.68 crores of previous year which included income on sale of investments and target plus scheme benefits. The cumulative net profit was Rs.1292 crores vis-à-vis Rs.856.53 crores in the corresponding previous year. The company's debt gearing has come down to 0.75 as against 0.96 in the previous year even after availing fresh loans for enhancing the capacity from 2.5 MTPA to 3.8 MTPA as the company has repaid Rs.1018 crores during the year. The weighted average interest cost was at 8.14% in the hardening interest rate scenario, reflecting the improving financial profile of the Company. The Company's net worth improved to Rs.5400 crores against long term debt of Rs.4031 crores giving enough flexibility to raise further debt with out breaching the debt gearing level of 1. It is heartening to note that the Long Term Debt to EBIDTA reduced from 1.82 times in the previous year to 1.38 as on 31.3.2007. Return on capital employed also improved to 23.77%. The interest cover improved from 5.86 to 7.31 times. 3 Status of projects and implementation a) Cold Rolling Mill 1 MTPA complex: The installation of major Equipment is in progress and the commissioning of various facilities is progressing briskly. The CRM project is expected to be completed by Q2, FY 2008. b) HSM Phase II Modernization Project to increase capacity from 2.5 to 3.2 MTPA: Technical discussions have been completed & Ordering of Equipment is in progress. The project is expected to be on Stream by end of FY 2007-08. c) New HSM Project: The implementation has already been taken up and site works are in progress. Major Packages are finalized. Down payments have been made. Targeted commissioning date is 30.9.2009. d) Blast Furnace 1 Modernization Project to increase capacity from 0.9 to 1.2 MTPA: Discussions are in progress with VAI Siemens for finalizing the modernization related jobs to achieve planned capacity enhancement by end FY 2008-09. e) 2.8 MTPA Expansion Project to increase overall capacity to 6.8 MTPA: The various units under 2.8 MTPA Expansion Projects, such as Blast Furnace, Sinter Plant, Coke oven plant, Steel Melt shop (two converters, one Slab Caster and one Billet Caster), and Long Product Mills (Wire Rod Mill & Rebar Mill) are progressing as per schedule. In respect of Coke Ovens, Refractory erection has already started. The Sinter Plant and Blast Furnace erection is in advanced stage. There is a significant progress in the implementation of this Project and is expected to be on stream by Mar09, as planned. 4 On completion of 2.8 MTPA expansions, the company will have an integrated 6.8 MTPA Steel Plant with state-of-the-art facilities and value added products contributing significantly to the bottom line. Cost Reduction Initiatives i) ii) iii) iv) Setting up of Mixer together with RH degasser with Hot metal pretreatment facilities in the steel melt shop enables the Company to produce high end steel products in addition to improving the yields. These facilities are expected to be operational in fiscal 2007-08. Installation of a coal drying plant to be commissioned in 2nd quarter 2007-08 will improve the fuel efficiency in Corex unit. Installation of Boiler with a capacity of 200 TPH per hour will increase the CPP 2 operating capacity from 90 to 130 MW and is expected to be operational by December 2007. 30 MW captive power plant and conversion of zinc coating to aluminum coating will bring value enhancement in the Downstream processing. The dedicated efforts made by the R & D team at JSW is driving to take up new innovative value enhancing initiatives to optimize yields, reduce costs and improve operational performance on a sustainable and continuous basis. Key Developments: a) Recommencing the Hot Metal Furnace after necessary repairs. The Company had to undertake shut down of one of the furnaces in February 2007 for repairs due to accidental fire. This furnace recommenced operations on 12th of April 2007. The Company has taken fire insurance policy covering the loss of profits also. As a preventive measure, it is now proposed to take shut down for a period of 35 days in June / July 07 for the other identical Hot Metal unit to incorporate the safety features to ensure such incidence do not reoccur. 5 b) Acquisition of Service Centre in UK JSW Steel Ltd, through its wholly owned subsidiary JSW Steel (UK) Ltd has entered into a share purchase agreement to acquire 100% stake in Argent Independent Steel (Holdings) Ltd, UK, which in turn owns 100% shares of Argent Independent Steel Ltd. Argent Independent Steel (Holdings) Ltd, was formed in October 2006, after a management buyout of Thyssenkrupp Service Centre UK Ltd, a part of Thyssenkrupp Germany. It is a steel processing center strategically located at Newport, South Wales, UK and is about 2 Kms away from the seaport. The company is involved in slitting, blanking, recoiling processes of steel products and is ISO 9001 and TS 16949 certified. The annual steel processing capacity of the company is 0.15 Mtpa. The plant processes Hot Rolled, Cold Rolled Close Annealed, Galvanised and Colour coated steel Coils to cater to the automotive, construction, radiators, racking, HVAC, fencing and general application. Out of the current product mix, 55% goes into the construction sector, 15% to the Automotive sector and the balance for other purposes. The turnover of the company in 2006 was £ 26.3 million. The EBIDTA in 2003-04 was £1.568 million and £0.997 million in 2004-05. The company's EBIDTA in 2005-06 was a negative of £ 0.647 million. JSW Steel (UK) Ltd has entered in to Share Purchase agreement to buy Argent Independent Steel (Holdings) Ltd at an Enterprise Value of £ 3.75 million. The consideration of £3.75 million is to be discharged by taking over the existing loan of £2.1 million and balance £1.65 million to be paid to acquire 100% holding; £1 million by 17.5.2007 and balance on or before 31st December 2007 subject to satisfactory compliance of certain conditions. The company proposes to fund the cost of acquisition out of its cash accruals. The acquisition is expected to immensely benefit the Company to: 6 - - - - Use rich experience and expertise in the Steel Service Centre business in UK for the company's recently forayed similar business in India. Access to existing customers and market in UK and European Automotive and Construction sector. Further value enhancement to JSW Steel's products through UK Service Centre, Widen and consolidate the presence in the European markets, using the base in UK. c) Coal Mines in Africa Following the encouraging due diligence report on the coal blocks proposed to be acquired by the Company in Africa the Company has signed further MOUs on 5th of March 2007 to take over two more licenses with a view to expand operations in Africa to achieve self sufficiency in coking coal over a period of time. The Company has to under take further due diligence to know the quality of the coking coal and extent of usability in steel making. d) Allotment of Rohne Coking Coal Block in Jharkhand JSW Steel Ltd had applied for allocation of captive coking coal blocks to the Ministry of Coal for the captive consumption of coal at its existing steel plant at Vijayanagar as well as the proposed steel plant at Jharkhand. Ministry of Coal, Government of India has allotted Rohne Coal Block in the State of Jharkhand with geological reserves of 410 million tons and 250 million tons of mineable reserves of Medium and High grade Coking Coal jointly to JSW Steel Ltd. and two other Allottees in the ratio of 69%, 24% and 7% respectively. The annual capacity of the mine will be 8 MTPA and the output will be divided between the 3 companies in the ratio of their allotment. 7 e) A suitable consortium structure shall be formed between JSW Steel Ltd, and two other Allottees Ltd. for the development of mine and the infrastructure. The necessary environmental, forests and mining plan approvals shall be obtained in due course. Acquisition of Cold Rolling Complex Jindal Steel & Alloys Ltd.(JSAL), owns a 230,000 tonns of Cold Rolling facility at Vasind adjacent to the Value Added Facility of the company. As the operations of this Company are integrated with Down-stream business, your Company has taken this facility on Conducting Basis for a period of 3 years which expires on 28.2.2009. In order to carry out the integrated operations uninterruptedly, it is in the interest of the Company to acquire this facility. Accordingly your Board has approved the acquisition of this unit on the terms to be approved by a Committee of Directors based on valuation by Independent Valuer. Subsequent to receipt of independent valuation report, the Committee of Directors approved the acquisition of this unit for a consideration of Rs.63.34 crores to be discharged by taking over the liabilities of Rs.61.98 crores and the balance of Rs.1.36 crores to be paid in cash subject to certain approvals to be received from JSAL. This acquisition will be completed on receipt of requisite approvals from JSAL. Strategic Initiatives: a) Expansion of capacity from 6.8 MTPA to 10 MTPA by 2010 and Raising Long Term Resources. India is the 2nd fastest growing economy in the world. The steel consumption in the last year grew at 12%. The automotive, consumer durables, auto components, infrastructure, construction and housing sectors are showing double digit growth which drives up steel demand. The total consumption of steel in India is expected to reach 70 million tonns even assuming a conservative growth rate of 10%. As no big green field capacity is expected to be operational in the foreseeable future, JSW 8 Steel is in a distinct advantage to undertake brown field expansions and make them operational to leverage this opportunity. - The company's new Hot strip mill being set up at an initial capacity of 2 MTPA can be expanded to 5 MTPA with marginal investment. The inherent capacity available in the Hot strip mill is also an added advantage to create crude steel capacity as a backward integration to enhance the value. - The project configuration includes: New sinter plant, Coke oven, Blast furnaces, 2 Converters, 2 Casters, 2 Lime Klins, 300 MW captive power plant, dedicated water pipe line from Almatti dam from Andhra Pradesh, dedicated railway corridor for transporting Ore from mine to the plant with all other associated logistics, utilities and common facilities. - The implementation period is estimated to be 3 years starting from 1st October 2007. The cost of the project is worked out at Rs.7000 crores to be financed by way of cash accruals Rs.2000 crores and balance through Foreign Currency Convertible Bonds / EURO bonds / Foreign Currency loans / Structured finance products / Rupee loans. The Company is in touch with various Investment / Merchant bankers to work out the right mix of debt to finance this project and other ongoing projects. The Board of Directors at their meeting held on 30th April 2007 authorized the Finance Committee of Directors to negotiate and finalise the terms and conditions for each of the element of debt financing including Foreign Currency Convertible Bonds. Incidentally, the Company obtained the approval of the Members of the Annual General Body Meeting held on 13.6.2005 to raise resources up to US $ 500 million through FCCB / ADR / GDR / Convertible instrument from International Capital Market. Considering the attractive returns on project faster brownfield expansions at low specific investment cost per tonne, favourable capital market environment to raise resources to finance the Capital Expenditure Programme of the Company, and positive steel industry scenario, the Board decided to take up the 9 implementation of this project to be commissioned by 2010. The Company expects to maintain the debt gearing below 1 and debt to EBIDTA below 3 including the proposed debt financing up to 10 MTPA on the assumption of stable steel price outlook. b) The Board has also decided to seek an enabling approval from the Members for: the Issue of Shares / Securities convertible into Equity Shares to Qualified Institutional Buyers (QIB) in one or more trances through a Qualified Institutional Placement (QIP) not exceeding Rs.1000 crores in the aggregate at any one point of time; and /or for raising additional long term resources upto US$500 million in the International Capital market through issue of ADR/ GDR/FCCB/ and/or any other Convertible instrument(s). However, the total amount to be raised by the proposed issue of Securities and QIP would not in the aggregate exceed a sum of USD 500 million. Dividend Considering the excellent performance for the year under review and the financial position of the Company, your Directors at their meeting held on 13.03.2007 declared an interim Dividend of Rs.12.50 per Equity Share of Rs.10.00 for FY 06-07. Together with the Corporate Tax on Dividend, the total outflow on account of dividend was Rs.233.73 crores, vis-à-vis 143.19 crores paid for FY 06, an increase of 63%. The Board at its meeting held on date, has decided not to recommend any final dividend and to treat the interim dividend as final dividend. The interim dividend shall be fully adjusted as final dividend for the financial year ended on 31st March, 2007. 10 Your Directors recommend dividend at the stipulated rate of Re. 1/- per share (10%) on the 10% Cumulative Redeemable Preference Shares of Rs.10/- each for the financial year ended 31st March, 2007 for your approval. Outlook The global finished steel consumption is expected to touch 1.178 billion tones in 2007 showing a growth of 5.8%. The policy announcements, namely reduction / removal of export rebates on steel products, imposition of export tax on semis, discouraging tolling activities through the levy of taxes, imposition of quantity restrictions on export of certain products show the intent of Chinese policy makers to discourage export of low value added steel products. It is estimated by certain steel analysts that the net steel exports in 2007 from China will decline to approximately 10 million tones vis-a-vis 25 million tones in 2006. The weakening US Dollar is expected to keep the steel prices in Dollar terms at higher levels. Shortage of metallics, surging freight costs will continue to keep the cost of production high for steel manufacturers. The world economy is estimated to grow at 3.5% in 2007 as per IMF, which is again a big positive for the steel industry. At the back drop of clocking 9.2% growth in GDP in 2006-07, India is poised to maintain the growth momentum. In this environment, 2007 is expected to be a good year for the steel industry in spite of challenges of appreciating Rupee and hardening interest rates in the domestic market. PLANT     Land    The Government of Andhra Pradesh has issued order for allotment of 1048.65 acres land vide order no 892 dated 28th June 2007. The Company has already started acquisition of Assigned land of 866.67 Acres and for the Government land it is expected to receive allotment order by mid Jan 08. Private land of 177.67 acres will be acquired directly from land owners in due course.     Water    The Greater Visakhapatnam Municipal Corporation (GVMC) has allocated 8 GMD water from the Godavari River Resources.     Port     Visakhapatnam Port Authority has in principal allotted berth No. WQ-7 and back up area at north of NMDC for storage/ handling of Alumina and Caustic Soda. The feasibility study is in progress.     Railway     At S. Kota The Feasibility study for the Railway sliding at S.Kota has been completed and in principal approval has been received from East Coast Railway on 30.11.2007. At Similiguda The Feasibility study for the Railway sliding facilities for Bauxite loading at Similiguda station has been completed and in principal approval has been received from East Coast Railway on 04.12.2007. The Detailed Feasibility Report is under progress for both the siding.     Environmental Clearance     The Environmental Clearance for the project has been obtained from MOEF, GOI, New Delhi on 18.12.2007. Consent for Establishment (CFE) has been applied and it is expected by Jan 08.     Detailed Project Report (DPR)     Mandate has been already issued to MECON and final report will be ready by mid of Jan 08. The stamp &ldquo;Made in England&rdquo; on steel products was his trigger. It enraged him and aroused in him a nationalist fervor, so typical of the youth of those times. It motivated him to manufacture steel with the made in India stamp. Mr.OP Jindal always maintained that India should be self-sustained in every sector of industry. He visited several foreign countries and acquired a great deal of knowledge that he applied to enhance production in his establishments. At the age of 22 he set up a manufacturing unit in West Bengal with an initial investment of forty thousand rupees. And since then he has never looked back Since his childhood the young OP Jindal had keen interest in technical work. He started his industrial career with a small bucket-manufacturing unit in Hisar in the 50&rsquo;s and in 1964 set up a pipe unit, Jindal India Limited, which at present known as Jindal Industries Limited. He laid the foundation of a large factory, Jindal Strips Limited, in 1969. Today, the factory has the largest share in India's total stainless steel production. Although Mr. OP Jindal was not an engineer by qualification he stunned the best of technical brains with his deep insight and problem solving approach. He wasn&rsquo;t just a problem solver. He was, in the true sense, an innovator. He began, of all things with a canon. This goes back to the days when Nalwa village was vulnerable with the violence of partition. He devised a cannon, which worked on gunpowder. It would be fired every night as a deterrent. His later innovations transformed the steel industry. His contribution to the special tools industry, particularly, has been outstanding and has been recognized with several Lifetime achievement awards. At present, the OPJindal conglomerate comprises of four broad divisions. The estimated cost of this project is Rs.4804 crores. Lignite, the required raw material (fuel) will be made available from the nearby Jalipa and Kapurdi mines. For the purpose of mining, a joint venture company, Barmer Lignite Mining Company Limited (BLMCL) has been set up between Rajasthan State Minerals and Mining Ltd. and Raj WestPower Limited. This is the first and largest public Private partnership in the state of Rajasthan. The major part of the land required for the power project has already been acquired and the site activities have commenced. The first unit of the proposed eight units is slated to be synchronized in October 2008 and the subsequent units will be synchronized every two months thereafter. The company is in the advanced stages of finalizing supply of major equipment like boiler, TG etc. The water required for the project will be brought from IGNP through a 184 KM long pipeline for which water supply agreement has also been signed.
